TERMS AND CONDITIONS

1. Definitions

For the purposes of these Terms and Conditions:

"LeadsBuy," "we," "us," or "our" refers to LeadsBuy, a B2B SaaS platform for AI-driven lead intelligence.

"Platform" means the LeadsBuy website, dashboard, mobile application, APIs, and all related services.

"User," "you," or "your" refers to any individual or business entity that accesses or uses the Platform.

"Subscription" means the paid plan selected by the User to access LeadsBuy features.

"Lead Data" means inquiry and contact information synced from third-party marketplaces such as IndiaMART.

"AI Engine" refers to the artificial intelligence and machine learning systems used by LeadsBuy to filter, score, and qualify leads.

2. Acceptance of Terms

By registering for an account, subscribing to any plan, or using any part of the Platform, you confirm that:

You are at least 18 years of age and have the legal capacity to enter into a binding agreement.

If acting on behalf of a business or organisation, you have the authority to bind that entity to these terms.

You have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any other applicable policies.

These Terms may be updated periodically. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

3. Services Provided

LeadsBuy offers a B2B SaaS platform that provides the following services:

• Integration with third-party B2B marketplaces (e.g., IndiaMART) to sync incoming inquiries.
• AI-powered lead filtering and qualification to identify high-intent buyers.
• Lead scoring system to prioritise prospects for your sales team.
• CRM integration capabilities with platforms such as Zoho, HubSpot, and others.
• Built-in CRM dashboard for pipeline management, follow-up tracking, and team collaboration.
• Automation workflows for lead assignment, notifications, and follow-up reminders.
• Analytics and reporting dashboards for conversion tracking and ROI visibility.

LeadsBuy reserves the right to modify, suspend, or discontinue any service feature at any time, with reasonable prior notice where possible.

4. User Accounts & Registration

To access the Platform, you must create an account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the confidentiality of your account credentials and not share login details with unauthorised parties.
• Notify LeadsBuy immediately at support@leadsbuy.ai of any suspected unauthorised access to your account.
• Accept responsibility for all activities that occur under your account.

LeadsBuy reserves the right to suspend or terminate accounts that violate these Terms, contain false information, or engage in fraudulent activity.

6. Third-Party Integrations

The Platform integrates with third-party services including IndiaMART, Zoho CRM, HubSpot, and others. By using these integrations, you acknowledge:

• You must have valid, authorised accounts with those third-party services.
• LeadsBuy is not responsible for data accuracy, service availability, or policy changes of third-party platforms.
• Your use of third-party integrations is subject to the respective platform's terms of service and privacy policies.
• LeadsBuy may lose integration capability if a third-party platform modifies or restricts API access, and this does not entitle you to a refund.

7. Acceptable Use Policy

You agree to use the Platform only for lawful business purposes. The following uses are strictly prohibited:

• Using the Platform to send unsolicited communications (spam) to leads or prospects.
• Attempting to reverse-engineer, decompile, or extract the source code of the Platform or AI Engine.
• Scraping, harvesting, or bulk-downloading data from the Platform beyond your subscribed limits.
• Using the Platform in any manner that violates applicable law, including data protection and privacy regulations.
• Attempting to gain unauthorised access to other users' accounts or data.
• Uploading or transmitting malicious code, viruses, or any harmful content.
• Sublicensing, reselling, or commercially exploiting the Platform without prior written consent.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

8. Intellectual Property

All content, technology, features, functionality, trademarks, logos, and software on the Platform — including the AI Engine, lead scoring algorithms, and dashboard interface — are the exclusive intellectual property of LeadsBuy and are protected under applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes during your subscription term. This licence does not grant you any ownership rights in the Platform or its underlying technology.

9. Data Ownership

You retain ownership of the Lead Data and business data you upload to or sync with the Platform. By using our services, you grant LeadsBuy a limited licence to process, analyse, and use your data solely to provide the services described in these Terms.

LeadsBuy may use aggregated, anonymised data derived from Platform usage for the purpose of improving its services, training its AI Engine, and generating industry insights, provided that such data does not identify you or your business.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. LeadsBuy makes no warranties, express or implied, regarding the accuracy of AI lead scoring, the availability of integrations, or the fitness of the Platform for any particular purpose.

We do not guarantee that:

• The AI Engine will correctly identify all high-quality or low-quality leads.
• The Platform will be uninterrupted, error-free, or free from security vulnerabilities.
• Integration with third-party platforms will remain available at all times.

11. Limitation of Liability

To the maximum extent permitted by applicable law, LeadsBuy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising from your use of or inability to use the Platform.

LeadsBuy's total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to LeadsBuy in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless LeadsBuy, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights.

13. Termination

Either party may terminate the subscription at any time subject to the following:

• You may cancel your subscription at any time through your account settings or by contacting support@leadsbuy.ai. Cancellation takes effect at the end of the current billing period.
• LeadsBuy may suspend or terminate your account immediately for violation of these Terms, non-payment of fees, or other conduct harmful to the Platform or other users.
• Upon termination, your access to the Platform will cease and your data will be retained for 30 days before permanent deletion, unless otherwise required by law.

14. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
