Seller Terms and Conditions

1. Who is a Seller?

In the context of LeadsBuy, a 'Seller' (also referred to as an 'Affiliate Partner' or 'Referral Partner') is any individual or business entity that:

• Registers on the LeadsBuy Seller Portal at www.leadsbuy.ai/seller/login.
• Promotes LeadsBuy products, plans, or services to potential customers (buyers).
• Earns commissions or incentives when referred customers successfully subscribe to a LeadsBuy plan.

Sellers do not resell leads directly. They refer businesses to the LeadsBuy platform and earn commissions on successful conversions.

LeadsBuy offers a commission-based incentive to Sellers for every successful referral. The commission structure is as follows:

4. Referral Tracking & Attribution

Commissions are tracked and attributed as follows:

• Each Seller receives a unique referral link. When a prospect signs up through this link, the referral is attributed to that Seller.
• The referral cookie window is 30 days. If a prospect signs up within 30 days of clicking your referral link, the conversion is credited to you.
• If a prospect clicks multiple referral links, the last-click attribution model applies — the most recent referral link will receive the commission.
• Self-referrals (referring yourself or entities under your control) are strictly prohibited and will result in commission forfeiture and possible account termination.
• LeadsBuy's tracking system is the sole source of truth for referral attribution. Disputes must be raised within 15 days of the commission statement.

6. Seller Obligations & Code of Conduct

As a LeadsBuy Seller, you agree to:

• Promote LeadsBuy honestly and accurately, using only approved marketing materials.
• Not make false, misleading, or exaggerated claims about LeadsBuy's product capabilities, pricing, or results.
• Not engage in spam, unsolicited bulk messaging, or any form of aggressive or deceptive marketing.
• Not bid on LeadsBuy's branded keywords (e.g., 'LeadsBuy') in paid search advertising without prior written approval.
• Not create websites, social media profiles, or content that could be mistaken for official LeadsBuy channels.
• Disclose your affiliate relationship clearly in any promotional content as required by applicable advertising standards.
• Comply with all applicable laws, including consumer protection, advertising, and data protection regulations.
• Not offer cash-back, unauthorised discounts, or additional incentives to prospects on LeadsBuy's behalf.

7. Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination of your Seller account:

• Cookie stuffing or any form of fraudulent tracking manipulation.
• Generating fake sign-ups, test accounts, or self-referrals to inflate commissions.
• Using malware, adware, or any deceptive software to generate referral traffic.
• Impersonating LeadsBuy staff or representatives.
• Sharing your Seller login credentials with third parties.
• Circumventing LeadsBuy's tracking system to claim commissions outside the official programme.
• Soliciting leads or customers away from LeadsBuy to competing platforms.

8. Intellectual Property & Brand Usage

LeadsBuy grants Sellers a limited, non-exclusive, revocable licence to use the LeadsBuy name, logo, and approved marketing assets solely for the purpose of promoting the platform within the bounds of this Policy.

You must not:

• Alter, modify, or distort the LeadsBuy logo or brand assets in any way.
• Use the LeadsBuy brand in a manner that implies ownership, partnership, or official endorsement beyond your Seller role.
• Register domain names, social media handles, or business names that include the 'LeadsBuy' trademark.

All intellectual property rights in the LeadsBuy platform, brand, and technology remain exclusively with LeadsBuy.

9. Seller Dashboard & Reporting

Upon approval, Sellers will have access to a dedicated Seller Dashboard which provides:

• Real-time tracking of referral clicks, sign-ups, and conversions.
• Commission balance and payout history.
• Access to approved marketing materials and referral links.
• Performance analytics and conversion reports.

LeadsBuy makes reasonable efforts to ensure the accuracy of Dashboard data. However, technical delays of up to 24 hours may occur in tracking. The Seller Dashboard is the primary record for commission calculations.

10. Confidentiality

As a Seller, you may have access to information about LeadsBuy's pricing, business strategy, customer base, or internal systems. You agree to:

• Keep all such information strictly confidential.
• Not disclose any confidential information to third parties without LeadsBuy's prior written consent.
• Use confidential information solely for the purpose of promoting LeadsBuy within the scope of this programme.

This confidentiality obligation survives the termination of your Seller account for a period of two (2) years.

11. Term & Termination

Upon termination for cause, all pending and unpaid commissions may be forfeited. LeadsBuy will provide written notice of termination where practicable.

12. Limitation of Liability

LeadsBuy's total liability to any Seller under this Policy shall not exceed the total commissions earned by the Seller in the three (3) months preceding the event giving rise to the claim. LeadsBuy shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Seller programme.

13. Modifications to This Policy

LeadsBuy reserves the right to modify this Seller Policy at any time. Material changes will be communicated via the Seller Dashboard and/or email with at least 14 days' notice. Continued participation in the programme after the effective date of changes constitutes acceptance of the updated Policy.

14. Governing Law

This Seller Policy shall be governed by the laws of India. Any disputes arising from this Policy shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. Disputes shall first be attempted to be resolved through good-faith negotiation within 30 days before any legal proceedings are initiated.
